The Board

 

A board of directors has several key responsibilities, including holding management, and in turn company employees and auditors, responsible for its actions and securing regular reviews of the company by independent third parties to ensure reasonable internal controls.

 

A board should be able to balance the need to let management formulate business plans, enter into transactions and contracts on behalf of the company, and make relevant decisions with its duties to the shareholders.
