Our leadership

As defined by the Articles of Incorporation and Bylaws, the President and CEO, Leadership Team, and other executives report to our Board of Governors, which is the highest governing authority and is responsible for defining our vision, mission, and strategies.

The Board of Governors is the most senior corporate body, with ultimate responsibility for the strategy and the management of the organization. It works in conjunction with the Leadership Team, composed of staff members who manage their respective divisions.

2026 Annual Meeting of Members and Live Voting

The CFA Institute Annual Meeting of Members will be held virtually on Wednesday, 17 June 2026, 8:00 am. Regular Members are encouraged to participate via livestream. Please see the Notice of Annual Meeting of Members provided in the FY2026 Proxy Statement.

Eligible members can vote using the secure link sent beginning 20 April to their email address on record or by entering the election validation number included in the email and their CFA Institute ID (available in their profile) on the voting site.

If you want to ask a question during the livestream, use the Q&A function at any time during the meeting. Please include your full name and CFA Institute ID number. If you do not know your ID number, please provide your email address that is on record with the organization.

Rules of Procedure:

In order to allow participation by as many regular members as possible, in a fair and orderly manner, the following rules will govern this meeting:

  1. The meeting will be conducted as per the formal agenda set forth above.
  2. Only Regular Members of record as of the close of business on 9 April 2026 or their duly authorized proxies are eligible to vote on, comment, ask questions or otherwise address the meeting.  
  3. Submitting questions and comments during the meeting. Eligible Regular Members may submit questions and comments on specific agenda items at the time such matters are addressed per the agenda. Comments and questions not related to a specific agenda item are to be reserved for the period provided on the agenda for questions and comments from members. 

    Please submit questions and comments during the meeting through the webcast Q&A function. Include your full name and CFA Institute ID number when providing a question or comment. If you do not know your CFA Institute ID number, please provide your email address that is on record with the organization.

    The Chair may choose to group similar questions to allow for covering as many issues as possible in the allotted time.

  4. Live voting during the meeting. Eligible Regular Members who did not cast their ballot by proxy or want to change their vote may do so by submitting a meeting ballot, you will need your CFA Institute ID number and Election Validation number provided by the election tabulator (Election Services Corporation).

    All meeting ballots must be submitted between 7:30 am and no later than 9:30 am US Eastern Daylight Time on 17 June 2026.

  5. Following governance practice and fair notice to all members, no other proposals or amendments to current proposals shall be considered during the meeting.
  6. The Chair reserves the right to rule on the relevancy, redundancy and/or propriety of any matters or statements from the attendees. Any such rulings by the Chair will be final.
  7. The Chair shall govern the meeting in a manner that is consistent with the Articles of Incorporation and Bylaws of CFA Institute. 
     

2026 Proxy Voting

Proxy voting opens on 20 April 2026 and closes at 11:59 am ET on 16 June. For the 2026 vote, we have retained Election Services Co., an independent proxy tabulator.

Eligible members can vote using the secure link sent beginning 20 April to their email address on record or by entering the election validation number included in the email and their CFA Institute ID (available in their profile) on the voting site.

Voting matters for 2026 include the following:

  1. To elect 3 governors, each to serve a term beginning 1 September 2026 and ending 31 August 2029.
  2. To ratify the selection of an independent registered public accounting firm for fiscal year 2026.
  3. To transact any other business that properly comes before the meeting or any adjournment.
